Terms

The agreement between you and Nullshift Development Ltd, who make Termspring. Please read it before you create an account. Write to hello@termspring.com about anything here.

VERSION 2026-10-25 · LAST UPDATED 25 OCTOBER 2026

1. Who we are and what this covers

Termspring is made and sold by Nullshift Development Ltd, a company registered in England and Wales (number 17284213), whose registered office is 66 Paul Street, London EC2A 4NA. In these terms “we” means Nullshift Development Ltd and “you” means the person whose account it is.

These terms, the subscription terms (for Plus and Max) and the AI use page make up our agreement. The privacy notice and the cookies page explain how we handle your data. If these terms and the subscription terms disagree about a paid plan, the subscription terms apply.

2. Your account

3. Plans

Termspring has a free plan and two paid plans, Plus and Max. The billing page and the pricing on our website show what each includes. Paying for Plus or Max, trials, renewals, cancelling and refunds are covered by the subscription terms.

Anything free stays free. A feature that is part of the free plan won’t be moved to a paid plan. Your data export, the AI controls and the AI-use log are free on every plan.

If you stop paying, nothing you made is deleted. Paid features are hidden, and come back as they were if you subscribe again.

4. Plan limits and the AI allowance

Some features are counted each month, and the counts start again on the 1st of each month, UK time. For example:

Every plan also has a monthly AI allowance, measured by what the AI costs us to run: a small taster on Free, £3.00 on Plus and £7.50 on Max. When you reach it, the AI features pause until the 1st and tell you so. Everything else, including your notes, reviews, planner and Focus, carries on as normal. The AI use page has the details.

To protect the service, we also keep a daily limit on AI use across all accounts, and we can pause AI features or lecture transcription for everyone if a provider fails or misbehaves. When that happens we say so in the app, and the rest of Termspring keeps working.

5. Studying honestly

Termspring is built to help you learn, not to do your assessed work for you.

You are responsible for what you submit to your university and for following its rules. If your university decides you broke them, that decision is between you and your university.

6. Recording lectures

Only record a lecture where your university’s rules allow you to, and follow its policy on recording, including any rule that you ask first or tell the lecturer. Recordings and transcripts are for your own study: don’t publish or share them. Other people may be heard, so pause during discussion and delete anything you shouldn’t keep. The privacy notice explains how live lectures handle sound and transcripts.

7. Your content

What you put into Termspring stays yours: notes, flashcards, plans, uploads, transcripts and everything else. To run Termspring for you, you give us permission to store, copy, process and display your content, and to send it to the providers named in the privacy notice when a feature you use needs them (for example, sending slides to Claude when you ask for them to be read). This permission is only for running Termspring for you. It ends when you delete the content or your account, apart from copies in backups that roll off on their own soon after.

We don’t sell your content, show it to other accounts, or use it to train AI models.

8. Uploading university material

Lecture slides, handouts and sheets usually belong to your university or its staff. Only upload material you are allowed to use for your own study, such as slides your university has given you for your course. Uploads stay private to your account and are never shared or published by Termspring.

Don’t upload material you have no right to use, and don’t use Termspring to share other people’s material. If a rights holder tells us that something uploaded infringes their rights, we may remove it and will tell you.

9. Using Termspring fairly

Don’t:

10. Profiles, friends, groups and sharing

Profiles, friends, study groups, Focus boards and deck sharing are optional. You turn them on, change them and turn them off in Settings, under Profile.

11. AI output

What the AI writes is a draft for you to check. It can be wrong, including worked answers and marking suggestions, and it is never a verdict on your work or a mark. Your lecturers’ feedback and your university’s marks are what count. The AI use page explains which models we use, what is sent to them, and your controls.

12. Keeping Termspring running

We work to keep Termspring available and your data safe, but we can’t promise it will always be available or free of faults. We sometimes need to pause it for maintenance, and things outside our control can stop it working. Download a copy of your data from Settings whenever you want one.

We improve Termspring all the time and may change or remove features. If a change significantly reduces what your paid plan includes, we will tell you at least 30 days before it happens, and you can cancel and get back what you paid for the time left.

13. Closing an account

You can delete your account at any time in Settings, under Account. The subscription terms say what happens to a paid plan when you do.

We may suspend or close your account if you seriously or repeatedly break these terms, if you use Termspring fraudulently, if it is needed to protect other people or the service, or if the law requires it. Unless it is urgent or the law stops us, we will tell you why first and give you a reasonable chance to put things right. Before we close an account we give you a chance to download your data, unless the law prevents it. If we close your account for a reason that isn’t your fault, we refund what you paid for the time left on your plan.

We may also stop offering Termspring altogether. If we do, we will give you at least 60 days’ notice, time to download your data, and a refund for any paid time left.

14. Our responsibility to you

You have legal rights as a consumer, and nothing in these terms takes them away. Termspring must be as described, fit for its purpose and of satisfactory quality, and we must provide it with reasonable care and skill. Citizens Advice can explain your rights.

15. Changes to these terms

We may change these terms, for example when Termspring changes or the law does. For a change that matters, we tell you by email and in the app at least 30 days before it applies, and ask you to accept the new version. If you don’t want to accept it, you can delete your account before then, and if you are paying you can cancel and get back what you paid for the time left. Small changes, such as clearer wording, can apply sooner. The version and date at the top of this page show which terms you agreed to.

16. Complaints

If something goes wrong, write to hello@termspring.com. We will reply within 5 working days and aim to sort things out within 30 days. If we can’t resolve a complaint, we will tell you in writing, name an alternative dispute resolution service that could look at it, and say whether we agree to use it. You can also go to court.

17. Law and courts

These terms are governed by the law of England and Wales, and you can bring a claim in the courts of England and Wales. If you live in Scotland or Northern Ireland, you can also bring a claim in your local courts, and the consumer protections of the place you live still apply to you.
